Agreement and authorized use

By accessing or using Community DNA, you agree to these Terms and represent that you are authorized to use the account and, when acting for an organization, authorized to act within the permissions assigned to you. You must provide accurate account information, protect your login credentials, comply with applicable law, and use only information you have a lawful right to enter, upload, analyze, export, or share.

What Community DNA is

Community DNA is a community-intelligence and decision-support platform. It organizes available statistical, demographic, economic, geographic, municipal, property, public-record, licensed, and other source-backed information into structured community profiles, evidence records, scores, comparisons, and reports. Community DNA is intended to help users understand what the available record supports, identify unanswered questions, trace supporting sources, and prepare for professional checks before a major decision (often called due diligence). It does not replace professional judgment or the project-specific work qualified professionals may need to perform.

Source data can be incomplete or wrong

Community DNA may use information obtained from government agencies, municipalities, public databases, mapping services, research sources, commercial providers, connected services, and other third parties. Those sources may be incomplete, delayed, inconsistent, unavailable, based on different geographic boundaries or reporting periods, revised after collection, or incorrect. A source shown in Community DNA does not mean What's Poppin' USA Ltd Co independently audited, endorsed, certified, or guaranteed that source.

Source integrity and information availability

Community DNA is designed to use source-backed information and does not fabricate, estimate, or substitute unsupported property or community facts when a usable record is not available. When an authoritative source is unavailable, restricted, temporarily offline, human-gated, or does not provide a verifiable record for the subject property or jurisdiction, the affected information may be marked “Not available.” Community DNA may attempt other configured authoritative or appropriate source routes, but does not guarantee that every requested field, dataset, jurisdiction, or property record will be available.

Statistical and geographic limitations

Statistics are estimates or reported measurements for a defined geography and time period. Census tracts, ZIP codes, counties, municipalities, corridors, neighborhoods, districts, project areas, and other boundaries do not always match one another. Data for an anchor tract or nearby geography may provide useful context without describing an entire project area. Users are responsible for reviewing the source, vintage, geography, methodology, and limitations before relying on a data point.

Scores, tiers, analysis, and AI-assisted features

Community DNA scores, tiers, findings, suggestions, comparisons, summaries, projections, and AI-assisted output are analytical tools based on the information available to the system at the time. They are not certifications, approvals, guarantees, appraisals, forecasts of financial return, or representations that a project will be accepted, entitled, financed, funded, insured, permitted, completed, or successful. AI-assisted output may contain errors and must be reviewed by a qualified human before use.

Professional review before major decisions

Do not make a material acquisition, development, investment, lending, funding, land-use, zoning, site-selection, construction, disposition, or economic-development decision solely from a Community DNA score, report, or output. Before a major decision, independently verify material facts and have the report and relevant underlying information reviewed by the qualified professionals appropriate to the decision. Depending on the project, those professionals may include a developer, economic-development specialist, planner, engineer, surveyor, appraiser, environmental professional, architect, attorney, accountant, financial adviser, lender, insurer, or other specialist.

No professional, fiduciary, or advisory relationship

Using Community DNA does not create an attorney-client, accountant-client, appraiser-client, engineer-client, planner-client, financial-adviser, broker, fiduciary, lender, insurer, consultant-client, or other professional relationship with What's Poppin' USA Ltd Co unless a separate written agreement expressly creates that relationship. Community DNA is not legal, tax, accounting, appraisal, engineering, environmental, surveying, investment, lending, insurance, or other regulated professional advice.

Your information and your responsibility

You are responsible for the accuracy, legality, permissions, confidentiality, and appropriateness of the information you enter or upload. You are also responsible for reviewing generated material before using, distributing, publishing, or relying on it. Do not upload confidential, proprietary, personal, regulated, or restricted information unless you are authorized to do so and Community DNA is appropriate for that information.

Sharing and confidentiality

When you download, print, email, publish, or share a report or other Community DNA material, you control that disclosure and are responsible for the recipient and the consequences of sharing it. Community DNA may warn you before external sharing because reports can contain confidential business plans, development intentions, information about people or groups involved, negotiations, or other sensitive material. Once a file is downloaded or information is sent outside Community DNA, we cannot remotely retrieve or erase copies held by third parties.

Reports, date stamps, and six-month current period

A Full Community DNA Report is a saved record of the information, findings, scoring method, and score status at the time it is created. Reports are date-stamped and identify the period through which Community DNA treats them as current. A property's first report pull starts a six-calendar-month current-access period. Regenerating or updating that property's report during the same current-access period does not restart or extend the expiration date. After that period, a new current report is required because community and economic conditions may have changed. Historical reports stay saved as they were and are not rewritten when live data changes.

Search, analysis runs, subscriptions, and report charges

Ordinary Community Preview searching may be offered without a search-count charge. Deeper Community Analysis Runs, reports, collaboration seats, comparisons, client-delivery features, and other benefits are governed by the plan or one-time purchase shown at checkout. Creating a new paid report uses an available CDNA report credit or the applicable report price. Reopening, viewing, printing, or regenerating an already-created eligible saved report does not by itself create another report charge.

Subscription cancellation

You may turn off subscription renewal at any time. Cancellation stops future recurring charges and provides no refund or reimbursement. Your paid plan and features remain available until the end of your current paid billing cycle, then paid subscription access ends. For a monthly subscription, this is the end of the monthly cycle already paid for. This policy does not limit rights that applicable law requires.

Third-party services, licensed data, and payment providers

Features may depend on third-party payment, hosting, mapping, data, authentication, file-storage, AI, search, communication, public-record, government, or connected-service providers. Those providers may have their own terms, usage limits, licensing rules, update schedules, and privacy practices. Community DNA may transform, summarize, organize, cite, or display returned information, but does not control the underlying provider and does not warrant that a provider will continue to make a dataset, endpoint, record, image, review, map layer, or field available. We are not responsible for third-party outages, restrictions, changes, data errors, provider discontinuation, or acts outside our reasonable control.

Intellectual property

Community DNA software, methodology structure, report design, scoring framework, documentation, branding, sample reports, and other proprietary platform materials are owned by or licensed to What's Poppin' USA Ltd Co and are protected by applicable intellectual-property laws. Your organization retains its rights in information it lawfully supplies. A subscription or report purchase gives you the right to use the applicable Community DNA output for your authorized business purpose; it does not transfer ownership of the Community DNA methodology, software, templates, scoring architecture, or underlying proprietary materials.

No warranties

To the fullest extent permitted by law, Community DNA and its content, data, reports, calculations, scoring, suggestions, connected features, and other output are provided "as is" and "as available." We disclaim warranties and representations, express or implied, including warranties of accuracy, completeness, timeliness, non-infringement, merchantability, fitness for a particular purpose, availability, or that the service will be uninterrupted or error-free. Nothing in these Terms excludes a warranty or right that applicable law does not allow to be excluded.

Assumption of risk, reliance, and limitation of liability

You are responsible for your business, acquisition, development, investment, funding, land-use, and other decisions and for obtaining the professional review appropriate to those decisions. You agree that Community DNA is one information source in a broader decision process and that you will not treat a score, report, suggested next step, funding lead, public-record result, map, comparison, AI-assisted output, or other platform output as a guarantee or as the sole basis for a material decision. To the fullest extent permitted by law, What's Poppin' USA Ltd Co and its affiliates, officers, employees, contractors, and licensors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, lost opportunities, loss of data, financing losses, project delays, development losses, investment losses, business interruption, acquisition losses, or losses arising from reliance on Community DNA data, reports, scores, recommendations, third-party information, unavailable services, or a third party's change to information after collection. To the fullest extent permitted by law, the aggregate liability of What's Poppin' USA Ltd Co arising out of or relating to Community DNA will not exceed the amount actually paid by you for the Community DNA product or service giving rise to the claim during the twelve months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability, remedies, or rights that applicable law does not permit to be excluded or limited.

User indemnity for misuse and unauthorized content

To the extent permitted by law, you agree to defend, indemnify, and hold harmless What's Poppin' USA Ltd Co from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful use of Community DNA, your violation of these Terms, information you submit without the required rights or permissions, or your unauthorized disclosure or distribution of confidential or restricted information. This provision does not require indemnification for matters that applicable law does not permit.

Account and organization records

An individual user account is separate from an organization's Community DNA record. Removing or deleting an individual login does not automatically delete the organization, other organization users, organization-owned community records, saved reports, transaction records, or historical change records. A current Organization Primary must transfer Primary authority before deleting the Primary account; if a successor is not selected, Community DNA may select an eligible active organization user. If no eligible successor exists, deletion may be blocked until another user is active.

Suspension and termination

We may suspend or restrict access when reasonably necessary to protect the service, investigate fraud or misuse, comply with law, enforce these Terms, address nonpayment, or protect users or third parties. Ending an account or plan does not erase rights, obligations, transaction records, historical reports, audit records, or other provisions that by their nature should survive termination.

Changes and severability

We may update these Terms prospectively as the product, laws, providers, and commercial terms change. Material changes will be presented through the service or another reasonable notice method when required. If a provision is held unenforceable, the remaining provisions remain in effect to the extent permitted by law.
